Frankly Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Frankly website and any related pages, including our “Coming Soon” page (the “Site”). By using the Site or submitting your information, you agree to these Terms.

If you do not agree, please do not use the Site.

1. Who We Are

Frankly, LLC (“we,” “us,” or “our”) provides information about Frankly and allows you to join a notification list for launch and product updates.

2. Eligibility

You must be at least 18 years old to use the Site.

3. What You Can Do Here

On the Coming Soon page, you may:

  • Browse information about Frankly
  • Submit your email address to be notified when Frankly launches or when major updates are available

We may change what the Site offers at any time.

4. Communications

If you submit your email address, you agree that we can contact you about launch and product updates. You can unsubscribe at any time using the link in our emails.

5. Privacy

Our Privacy Policy explains what we collect and how we use it, including the use of Mailjet (for email sign-ups and notifications) and Google Analytics (for aggregated site usage data). Please read it before using the Site.

6. Acceptable Use

You agree to use the Site only for its intended purpose and in a way that does not harm Frankly, other users, or third parties.

You may not:

  • Break or probe the Site. Attempt to interfere with, disrupt, overload, damage, or gain unauthorized access to the Site, our systems, or our security measures.
  • Automate access without permission. Use bots, scrapers, spiders, scripts, or other automated methods to access, crawl, scrape, or collect data from the Site without our written permission.
  • Circumvent limits or controls. Bypass rate limits, access restrictions, paywalls, or other controls we put in place.
  • Reverse engineer or extract our logic. Reverse engineer, decompile, disassemble, or attempt to discover or replicate any underlying source code, prompts, models, scoring logic, weights, thresholds, evaluation methods, or system behavior used by Frankly (except to the extent such restrictions are prohibited by law).
  • Run inference attacks. Use repeated, patterned, or high-volume testing designed to infer, benchmark, or reproduce Frankly’s internal methods or scoring system.
  • Misuse outputs. If Frankly provides reports, scores, or other outputs in the future, you may not sell, sublicense, or commercially distribute them without our written permission, and you may not present them as an official certification, endorsement, or guarantee by Frankly.
  • Use unlawfully or abusively. Use the Site for unlawful, harmful, fraudulent, or abusive activity.

We may restrict, suspend, or block access if we reasonably believe you are violating these Terms or creating risk for Frankly or others.

7. Beta and Early Access

If we grant you beta or early access to Frankly in the future:

  • Access may be limited, delayed, or revoked
  • Features may change, break, or disappear
  • We do not guarantee availability, uptime, or results during beta

Additional terms may apply at that time. If they do, we will present them to you.

8. Intellectual Property

8.1 Our IP

The Site and Frankly, including all software, design, visual elements, branding, text (excluding user-submitted content), scoring methodology, evaluation systems, rating structures, output formats, and any underlying logic or processes, are owned by Frankly or our licensors and are protected by intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for its intended purpose, subject to these Terms.

8.2 Your Content

If Frankly later allows you to submit content (for example: a URL, page content, or other materials), you retain ownership of what you submit.

By submitting content, you grant Frankly a worldwide, non-exclusive, royalty-free license to use, host, reproduce, and process that content only as needed to:

  • operate the service and generate outputs,
  • maintain and secure the service,
  • comply with legal obligations, and
  • improve the service using aggregated and de-identified learnings.

You represent that you have the rights needed to submit the content and grant this license.

8.3 Feedback

If you send suggestions, feedback, or ideas, you agree we can use them without restriction or obligation to you.

9. Disclaimers

The Site is provided “as is” and “as available.” We make no warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the fullest extent permitted by law, Frankly, LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill arising from or related to your use of the Site. If we are found liable for any claim, our total liability will not exceed $100.

11. Changes to These Terms

We may update these Terms from time to time. The “Last updated” date shows when changes were made. Your continued use of the Site after changes means you accept the updated Terms.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Site will be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.
